Terms of Service

The short version: Stubsmith is a free browser tool for creating your own business documents. You own what you create, and you are responsible for its contents. We provide the tool as-is, and we do not process payments between you and your clients. This summary is for convenience only; the full Terms below control.

1. Agreement

These Terms of Service (“Terms”) are an agreement between you and GridHome Group LLC (“GHG,” “we,” “us,” or “our”), a New York limited liability company, governing your use of Stubsmith at stubsmithapp.com and related Stubsmith pages, tools, and services (the “Service”).

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Stubsmith lets you create estimates, invoices, and receipts as PDF documents in your browser. The core generator is free and requires no account.

Documents and business information you enter are stored locally on your device whenever possible, not automatically on our servers. Optional AI-assisted features process the content you submit through our API and/or third-party AI providers to return a result.

3. Your documents, your responsibility

You own the documents you create. You are solely responsible for their contents and use, including:

  • the accuracy of prices, quantities, tax rates, discounts, balances, and totals;
  • the accuracy and legality of client information, scope descriptions, payment terms, notices, warranty language, and any other document wording;
  • compliance with the laws that apply to your business, including licensing, invoicing, sales tax collection and remittance, consumer protection, lien, record-keeping, and industry-specific requirements in your jurisdiction;
  • any agreement the document represents between you and your client.

Features such as sales-tax lookup, scope wording, item suggestions, translation, or AI assistance are conveniences based on available data and model outputs. They may be incomplete, inaccurate, outdated, or unsuitable for your situation.

Stubsmith does not provide legal, tax, accounting, financial, licensing, insurance, collection, or professional advice. You should verify important information with your own advisor, tax authority, licensing authority, or other appropriate professional.

4. Payments between you and your clients

If you add a payment link, such as Stripe, Square, PayPal, Zelle, Venmo, bank, or other payment information, that transaction is solely between you, your client, and your payment provider.

Stubsmith does not process, hold, transmit, collect, guarantee, refund, reverse, or take a percentage of payments, and we are not a party to your client relationships, payment disputes, chargebacks, nonpayment issues, or collection matters.

5. Acceptable use

You agree not to use the Service to:

  • create fraudulent, deceptive, misleading, or unlawful documents;
  • impersonate another person or business;
  • infringe anyone’s intellectual property, privacy, publicity, or other rights;
  • submit malware, harmful code, or content intended to disrupt the Service;
  • attempt to disrupt, overload, scrape, reverse-engineer, bypass, or misuse the Service, its API, or its security controls;
  • resell access to the Service without our written permission.

We may limit, suspend, or block access that we reasonably believe violates these Terms, creates legal risk, or harms the Service or other users.

6. Free tier and Pro

The core generator is free. Some features may be described as part of “Stubsmith Pro,” a paid tier.

Where Pro is offered as a waitlist, joining the waitlist creates no obligation on either side. Pro pricing, launch timing, included features, limits, and availability may change before launch.

If you later purchase Pro or another paid plan, additional payment terms may apply at that time.

7. Intellectual property

The Service, including its code, design, layout, name, logo, branding, and underlying content, belongs to GHG and its licensors.

These Terms do not grant you any right to use the Stubsmith or GridHome Group names, logos, branding, or other intellectual property except as allowed by the Service.

Your document contents remain yours.

8. Local storage and backups

Stubsmith relies on browser storage for many free-tool features. Browser storage can be cleared, blocked, corrupted, or lost because of browser settings, private browsing, device changes, cache clearing, operating system updates, storage limits, or user action.

You are responsible for downloading, exporting, saving, and backing up documents and records that matter to your business.

9. Third-party services

The Service may rely on or link to third-party services, including hosting, analytics, email, AI model providers, and payment providers.

We are not responsible for third-party services, websites, payment processors, or tools that we do not control. Your use of those services may be governed by their own terms and privacy policies.

10. AI-assisted and generated content

AI-assisted features may generate text, suggestions, translations, line items, or scope wording. AI output may be wrong, incomplete, outdated, or inappropriate for your business or jurisdiction.

You are responsible for reviewing, editing, and verifying all AI-assisted content before using it in a document or sending it to a client.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or reliability.

We do not warrant that the Service will be uninterrupted, error-free, secure, always available, or that locally stored data will never be lost. Back up documents that matter.

12. Limitation of liability

To the fullest extent permitted by law, GHG will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost business opportunities, business interruption, client disputes, payment disputes, tax issues, or document errors arising from or relating to your use of the Service.

To the extent any liability is not lawfully excludable, our total liability for all claims relating to the Service is limited to one hundred US dollars ($100) or the amount you paid us for the Service in the twelve months before the claim, whichever is greater.

13. Indemnity

You agree to indemnify, defend, and hold harmless GHG and its owners, members, employees, contractors, service providers, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising out of or relating to:

  • the documents you create or send;
  • your business transactions or disputes with clients;
  • your payment links or payment provider relationships;
  • your violation of these Terms;
  • your violation of law or third-party rights.

14. Changes and termination

We may modify, suspend, or discontinue the Service or these Terms at any time. If we materially change the Terms, we will update the date above and may note the change on the site.

Continuing to use the Service after a change means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.

Any dispute will be resolved in the state or federal courts located in New York, and you consent to their jurisdiction and venue, except where applicable law requires otherwise.
